Terms of Service

By accessing or using PortfolioWiser, you confirm that you are at least 18 years old, have the legal capacity to enter into binding agreements, and accept these Terms in full. These Terms constitute a legally binding agreement between you ("User," "you") and PortfolioWiser. Your continued use of the Platform after any modification to these Terms constitutes acceptance of the updated Terms.

PortfolioWiser is an educational and analytical platform that provides:

• Backtested tactical asset allocation (TAA) strategy data based on published academic research

• Portfolio construction and analysis tools

• Monthly rebalancing signals derived from systematic rules-based models

• An AI Assistant feature that provides general guidance about platform features and investment concepts

• Strategy comparison, scenario analysis, and portfolio reporting tools

What PortfolioWiser does NOT do:

• We do not execute trades or manage your investment accounts

• We do not access, connect to, or integrate with any brokerage or custodian accounts

• We do not provide personalized investment advice tailored to your individual financial situation, goals, risk tolerance, or tax circumstances

• We are not a registered investment advisor, broker-dealer, financial planner, or fiduciary under any applicable law

• We do not guarantee any investment outcome or rate of return

All content on the Platform is provided for educational, informational, and research purposes only. Nothing on the Platform should be construed as a recommendation to buy, sell, or hold any specific security or asset class.

To access paid features, you must create an account using a valid email address and password. You agree to:

• Provide accurate, current, and complete information during registration

• Maintain the confidentiality of your account credentials

• Notify us immediately at support@portfoliowiser.com of any unauthorized access to your account

• Accept responsibility for all activity that occurs under your account

You may not share your account credentials with others or allow multiple individuals to use a single account. We reserve the right to suspend or terminate accounts found to be shared.

PortfolioWiser offers three subscription tiers:

• Explorer (Free): Access to a limited set of platform features at no charge, with no time limit

• Pro: €39/month or €29/month billed annually (€348/year)

• Institutional: €79/month or €59/month billed annually (€708/year)

All paid subscriptions are billed in advance on a recurring basis. By subscribing, you authorize PortfolioWiser to charge your payment method on file through Stripe, our third-party payment processor, at the applicable rate on each billing cycle renewal date.

All prices include applicable taxes unless stated otherwise. We reserve the right to change subscription pricing with at least 30 days' notice to affected subscribers. Price changes will not apply to your current billing period.

Annual subscriptions are billed as a single lump sum at the start of each annual period. Switching from monthly to annual billing takes effect at the next renewal date.

New subscribers to Pro and Institutional plans receive a 7-day free trial. During the trial period, your payment method will be authorized but not charged. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.

You may only use one free trial per account. Free trials are not available on subsequent subscriptions after a trial has been previously redeemed.

If you are a consumer within the European Union or European Economic Area, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason, in accordance with the EU Consumer Rights Directive (2011/83/EU).

To exercise this right, contact us at support@portfoliowiser.com with a clear statement of your decision to withdraw. We will process your refund within 14 days using the same payment method you used for the original transaction.

If you have actively used the Platform during the withdrawal period, we may deduct a proportionate amount for the services already provided. By beginning to use paid features during the withdrawal period, you acknowledge that the service has begun and that withdrawal may result in a proportionate charge.

You may cancel your subscription at any time through your account settings or by contacting support@portfoliowiser.com. Cancellation takes effect at the end of your current billing period; you will retain access to paid features through that date.

14-Day Refund Policy: If you are not satisfied with your subscription, you may request a full refund within 14 days of your initial payment by contacting support@portfoliowiser.com. Refund requests submitted after 14 days are not eligible for a refund.

Refunds are processed to the original payment method and may take 5–10 business days to appear, depending on your financial institution.

All subscriptions automatically renew unless cancelled before the renewal date. You are responsible for managing your subscription and cancelling before renewal if you do not wish to be charged. We will send renewal reminder emails prior to annual renewals. PortfolioWiser is not responsible for charges resulting from failure to cancel a subscription.

You agree not to use PortfolioWiser for any of the following:

• Scraping, crawling, or systematically downloading content or data from the Platform

• Reproducing, reselling, or redistributing Platform data, signals, or research without written permission

• Attempting to reverse-engineer, decompile, or extract the source code of any part of the Platform

• Using automated tools, bots, or scripts to interact with the Platform

• Impersonating another person or entity, or misrepresenting your affiliation

• Using the Platform for any unlawful purpose or in violation of applicable regulations

• Circumventing any access controls, subscription limitations, or security features

• Uploading or transmitting malware, spam, or any harmful code

• Using Platform output to construct competing financial products or services without our written consent

• Interfering with the integrity, availability, or performance of the Platform

Violation of these prohibitions may result in immediate account termination without refund.

The PortfolioWiser Platform, including its design, software, data models, strategy logic, user interface, branding, and written content, is owned by PortfolioWiser and protected by applicable intellectual property laws, including EU Directive 2001/29/EC on copyright and the EU Database Directive (96/9/EC). You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal or internal business purposes in accordance with these Terms.

The underlying academic research and published investment methodologies referenced within Platform strategies are the intellectual property of their respective authors and publishers. PortfolioWiser does not claim ownership of those methodologies; our implementation and tooling built around them are our proprietary work.

You may not copy, modify, distribute, sell, or create derivative works from any part of the Platform without our express written permission.

The Platform allows you to save customized scenarios, portfolios, and configurations ("User Content"). You retain ownership of your User Content. By saving User Content on the Platform, you grant PortfolioWiser a limited, non-exclusive, royalty-free license to store and process that content solely to provide the service to you.

We do not use your saved portfolios or strategy configurations for any commercial purpose, and we do not share individual User Content with other users or third parties, except as required to operate the service or as described in our Privacy Policy.

IMPORTANT NOTICE: PortfolioWiser is not a registered investment advisor and does not provide personalized investment advice. PortfolioWiser is not authorised or regulated by any EU national competent authority, the European Securities and Markets Authority (ESMA), or any equivalent financial regulatory body. Nothing on this Platform constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any security. All strategy data, rebalancing signals, portfolio models, and AI Assistant responses are provided for informational and educational purposes only.

You are solely responsible for your investment decisions. You should consult a qualified financial advisor, tax professional, or attorney before making any investment decisions. Past backtested performance does not guarantee future results.

The Platform integrates with or references third-party services including Stripe (payments), analytics providers, and external research sources. Your use of those third-party services is governed by their respective terms and privacy policies. PortfolioWiser is not responsible for the content, accuracy, or practices of any third-party service.

The Platform may contain links to external websites. Those links are provided for convenience only and do not constitute endorsement of those sites or their content.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or harmful components. We do not warrant the accuracy, completeness, or timeliness of any data or content provided through the Platform.

Nothing in these Terms excludes or limits any mandatory consumer rights you may have under EU law that cannot be excluded or limited by contract.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PORTFOLIOWISER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, INVESTMENT LOSSES, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO PORTFOLIOWISER IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) €100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable EU or member state law.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless PortfolioWiser and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any investment decisions you make based on content from the Platform.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address on file and/or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you may terminate your account before the effective date.

You may terminate your account at any time by cancelling your subscription and requesting account deletion at support@portfoliowiser.com. We may suspend or terminate your account at any time for violation of these Terms or non-payment, with reasonable notice where practicable. Upon termination, your license to use the Platform ends immediately. Sections 10, 12, 14, 15, 16, 19, and 20 survive termination.

These Terms are governed by and construed in accordance with the laws of the European Union and the applicable laws of the EU member state in which PortfolioWiser is established, without regard to conflict of law provisions.

For consumers residing in the EU/EEA: nothing in these Terms deprives you of the protection afforded by mandatory provisions of the law of the EU member state in which you are habitually resident. You may bring proceedings in the courts of your member state of residence.

For non-consumer users: any disputes shall be submitted to the exclusive jurisdiction of the competent courts in the EU member state in which PortfolioWiser is established.

We encourage you to contact us first at support@portfoliowiser.com to resolve any dispute informally. We commit to responding within 14 days.

For consumers in the EU: You may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr to submit a complaint. This platform facilitates the resolution of disputes between consumers and businesses established in the EU.

Nothing in this section limits your right to bring proceedings before the competent courts of your EU member state of residence.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and Investment Disclaimer, constitute the entire agreement between you and PortfolioWiser regarding your use of the Platform and supersede all prior agreements and understandings.
